Terms & Conditions
A draft structure for professional web-development terms. The signed proposal or project agreement should contain the project-specific commercial conditions.
noindex.1. Service provider
The proposed provider details, taken from the supplied codeee.cz source and awaiting confirmation for the international studio, are:
Matyáš Změlík, trading as CODEEE STUDIO
Business ID (IČO): 24080951
Korunní 2569/108, 101 00 Prague 10, Czech Republic
Email: contact@codeeestudio.com
2. Services
CODEEE STUDIO provides website design and development and may provide related services such as responsive improvements, technical SEO, deployment assistance, domain or email configuration and clearly scoped maintenance. The exact services are those stated in the accepted proposal or agreement.
No service description on this website creates an obligation to accept a project or deliver work outside the written scope.
3. Proposals, estimates and scope
- Website prices are indicative “from” prices unless expressly stated as a fixed offer.
- A proposal should identify deliverables, exclusions, responsibilities, timing assumptions, feedback rounds and third-party costs.
- A proposal is valid for the period stated in it.
- Work outside the agreed scope requires written approval of its price and timing impact before it begins.
4. Prices, tax and payment
Project prices, currency, tax treatment, deposit and milestone schedule are stated in the proposal or invoice. Tax treatment must reflect the confirmed supplier status, customer status and applicable jurisdiction. Third-party subscriptions and provider charges are separate unless expressly included.
Where a payment is overdue, work and delivery dates may be paused after reasonable notice. The final agreement should define payment due dates, late-payment consequences and any deposit refund conditions.
5. Client responsibilities
The client is responsible for providing accurate instructions, timely consolidated feedback, lawful content, necessary account access and confirmation that supplied materials may be used. Delays in content, access or approvals may move the schedule.
The client must not send passwords through the public enquiry form. Credentials required during a project should be exchanged through an agreed secure method.
6. Review, acceptance and defects
The project agreement should define how deliverables are reviewed, how long the client has to report reproducible defects and which changes count as new scope rather than correction of an agreed requirement. Compatibility cannot extend to obsolete browsers or unspecified third-party changes unless expressly agreed.
7. Intellectual property and handover
After the agreed payment conditions are met, the client receives the usage or ownership rights stated in the project agreement for the custom deliverables. Pre-existing tools, open-source libraries, font licences and third-party materials remain governed by their respective terms.
Portfolio publication, confidentiality and the use of the client name or screenshots require the permissions stated in the agreement. CODEEE STUDIO will not present conceptual work as a real client engagement.
8. Domains, hosting, email and third-party services
The preferred model is that the client owns and pays for domain, hosting, email and external service accounts directly. CODEEE STUDIO may configure those services but does not control provider availability, pricing, policies or future changes. Infomaniak may be recommended as a provider, but no official partnership is claimed.
9. Maintenance and support
Ongoing support is optional and limited to the response times, included allowance and activities stated in the maintenance agreement. It is not unlimited. Unused time does not accumulate unless expressly agreed. Emergency availability is not included unless specifically contracted.
10. Warranties and limitation of liability
The provider will perform the agreed services with reasonable professional care but cannot guarantee search ranking, uninterrupted third-party services, visitor numbers, sales or other commercial results. Any liability cap, excluded loss categories and mandatory statutory exceptions must be drafted and reviewed for the applicable law and client type.
11. Cancellation and termination
The final agreement should state how either party may cancel or terminate, what notice is required, how completed work and committed costs are charged, and when partial deliverables are handed over. These rules may differ where mandatory consumer rights apply.
12. Applicable law and disputes
[TO BE CONFIRMED AFTER LEGAL REVIEW] The governing law, competent courts, language priority and any alternative dispute-resolution information must be completed before publication. International B2B work and consumer contracts may require different wording.
13. Contact and changes
Questions about these terms can be sent to contact@codeeestudio.com. The publication date, effective date and version history should be added once the final terms are approved.
